Welcome to Postbase. By accessing or using our platform, services, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Postbase ("Postbase," "we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

Postbase provides an AI-powered social media management platform that enables users to create, train, and deploy autonomous agents for content creation, scheduling, and engagement across multiple social media platforms. Our Service includes but is not limited to:

• AI agent creation and training using brand-specific materials
• Content generation and scheduling for social media platforms
• Multi-platform publishing and automation
• Analytics and performance tracking
• Integration with third-party social media platforms

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason.

2.1 AI Functionality and Disclaimers

The Service utilizes artificial intelligence and machine learning technologies ("AI") to generate content and perform actions. You acknowledge that:

• AI may produce inaccurate, offensive, or inappropriate content ("Hallucinations").
• You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published.
• We do not guarantee that AI-generated content will be unique or free from third-party copyright claims.
• We do not guarantee specific results or engagement metrics from the use of our AI agents.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscriptions and Payments

Postbase offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected subscription plan
• Provide current, complete, and accurate billing information
• Authorize us to charge your payment method on a recurring basis

Billing Cycles: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Price Changes: We reserve the right to modify our pricing at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at your next billing cycle.

Refunds: Fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

5. User Content and Data

Our Service allows you to upload, store, and share content, including but not limited to documents, images, brand materials, and social media posts (collectively, "User Content"). You retain all ownership rights to your User Content.

By uploading User Content to the Service, you grant Postbase a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to all User Content you upload
• Your User Content does not infringe on any third-party rights
• Your User Content complies with all applicable laws and these Terms

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

5.1 AI-Generated Content

Subject to your compliance with these Terms and payment of applicable fees, Postbase assigns to you all its right, title, and interest in and to the specific content generated by the AI agents for you ("Generated Content").

You understand and agree that:

• Similar or identical content may be generated for other users given similar inputs.
• You are responsible for ensuring that your use of Generated Content does not violate any third-party rights or applicable laws.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Postbase and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks displayed on the Service are the property of Postbase. You may not use these marks without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Engage in any form of spam, unsolicited advertising, or marketing
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use any automated system, including robots, spiders, or scrapers, to access the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Remove, modify, or obscure any copyright, trademark, or other proprietary notices
• Use the Service to generate content that violates the terms of service of any third-party social media platform

8. Third-Party Services and Content

The Service may integrate with or contain links to third-party websites, services, or applications, including social media platforms. We do not control these third-party services and are not responsible for their content, privacy policies, or practices.

Your use of third-party services is governed by their respective terms of service and privacy policies. You are responsible for reviewing and complying with these third-party terms.

8.1 Platform Compliance and Automation Risks

You acknowledge that using automation tools on social media platforms (such as X/Twitter, LinkedIn, Instagram) carries inherent risks, including but not limited to account restrictions, shadow-bans, or permanent suspensions.

You agree that:

• You are solely responsible for complying with the Terms of Service, Community Guidelines, and Automation Rules of all third-party platforms you connect to Postbase.
• Postbase is not liable for any account suspension, ban, or penalty imposed by third-party platforms resulting from your use of our Service.
• We may update our automation limits to comply with platform changes, but we do not guarantee that our settings will always prevent platform enforcement actions.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Postbase disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• Content generated by AI agents will meet your specific requirements or expectations

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, POSTBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability to you for all claims arising out of or related to the Service exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Postbase, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your User Content and Generated Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect.

By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Postbase regarding the Service.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
